End User Agreement

This End User Agreement ("Agreement") is a legal agreement between you (an individual or a single entity) and Compass International, Inc. ("Company") governing your use of publications, data products, digital downloads, and related materials ("Publications") purchased from or licensed by Compass International, Inc. By downloading, accessing, or using any Publication, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms of this Agreement and upon payment of the applicable fees, Compass International, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Publications solely for your own internal business purposes. This license does not transfer title or ownership of the Publications to you.

2. Permitted Uses

You may:

• Use the Publications for internal project estimating, budgeting, and planning.
• Reference data from the Publications in reports or analyses prepared for your clients, provided that such use is incidental and does not reproduce substantial portions of the Publications.
• Print a reasonable number of copies for internal use by employees within your organization.
• Store one copy of digital Publications on a single computer or secure network accessible only to authorized employees of your organization.

3. Restrictions

You may not:

• Reproduce, distribute, resell, sublicense, rent, lease, or lend any Publication or portion thereof to any third party.
• Share login credentials, access links, or downloaded files with individuals outside your organization.
• Use the Publications to create competing products, databases, or derivative works intended for commercial distribution.
• Remove, obscure, or alter any copyright notices, watermarks, or proprietary legends contained in the Publications.
• Use automated means to scrape, extract, or reproduce data from our publications or website.
• Use the Publications in any manner that violates applicable law or these Terms.

4. Intellectual Property Ownership

All Publications, including all data, text, charts, methodologies, and other content, remain the exclusive intellectual property of Compass International, Inc. This Agreement does not convey any ownership rights to you. All rights not expressly granted herein are reserved by Compass International, Inc.

5. Confidentiality

Certain Publications may contain proprietary methodologies and data that constitute trade secrets of Compass International, Inc. You agree to take reasonable precautions to protect the confidentiality of such information and to use it only as permitted under this Agreement.

6. Updates and Revisions

Publications are updated periodically. Your license applies only to the specific edition purchased. Access to updated editions may require a separate purchase or subscription. Compass International, Inc. is under no obligation to provide updates, corrections, or supplements unless expressly agreed in writing.

7. Disclaimer of Warranties

The Publications are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or accuracy. Construction cost data reflects historical and market conditions at the time of publication and should be applied with professional judgment. Compass International, Inc. does not guarantee that use of the Publications will result in any particular project outcome.

8. Limitation of Liability

In no event shall Compass International, Inc. be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Publications, even if advised of the possibility of such damages. Compass International, Inc.'s total liability under this Agreement shall not exceed the purchase price paid for the applicable Publication.

9. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Publications and destroy all copies in your possession.

10. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved in the courts of Bucks County, Pennsylvania.
